User Agreement

This agreement sets forth the terms and conditions of your use of the accompanying City of Everett Financial Planning Model software and associated files (hereafter referred to as, software and associated files). The use of the software and associated files is governed by the terms of this Agreement. By using the software and associated files you acknowledge that you have read the terms and conditions of this Agreement, and that you accept and will be bound by these terms and conditions. You acknowledge and agree that Lare & Associates LLC may change the content from time to time for any reason, and that you will not be provided any notice in either electronic or printed form of any such changes.

1. Any software of a third party that may be provided with the software and associated files with said third party's license agreement (in either electronic or printed form) is included for use at your option. If you choose to use said third party's software, then said use shall be governed by the third party's license agreement and not by this Agreement.

2. Lare & Associates LLC may provide links and pointers to other Internet sites. Lare & Associates LLC has not reviewed all third party sites linked to Lare & Associates LLC and is not responsible for the contents of or any products or services offered in such third party sites. Such links are not an endorsement of any products or services in such sites. You acknowledge and agree that (i) the information available through Lare & Associates LLC or interconnecting networks may not be accurate; (ii) some of the information available through Lare & Associates LLC or interconnecting networks may be intended for adult audiences; and (iii) some internetworking communications are not secure, and my be subject to interception or loss.

3. You agree to use software and associated files with all other applicable laws and regulations.

4. Lare & Associates LLC reserves the right to modify or suspend access to the software and associated files at any time for any reason without notice.

5. With respect to the software and associated files, you may not: (i) modify, translate, reverse engineer, decompile, disassemble, except and solely to the extent an applicable statute expressly and specifically prohibits such restrictions, upload, post or create derivative works based on the software and associated files; (ii) rent, lease, grant a security interest in, or otherwise transfer any rights to the software and associated files; or (iii) remove or alter any trademark, logo, copyright or other proprietary notices, legends, symbols or labels in the software and associated files, or in any copies you have made of the software and associated files.

6. The software and associated files, its content, organization, gathering, graphics, design, compilation and other matters related to the software and associated files are protected under applicable copyrights, trademarks, and other proprietary laws, including but not limited to intellectual property laws, and by international treaties. You do not acquire any title or ownership rights to the software and associated files or to any content accessed through the software and associated files and it remains the property of the applicable content owner. You acknowledge and agree that you will not take any action that would jeopardize, limit or interfere in any manner with the software and associated files or the title of third parties that supply content to software and associated files.

7. You agree that by posting messages, uploading files, inputting data, or engaging in any form of communication on the software and associated files, you grant to the public an unrestricted license to use, copy, modify, adapt or document in any form any communications, information or any underlying work in which you may possess proprietary rights, subject to applicable trademark and copyright laws. You shall have absolutely no recourse against Lare & Associates LLC as the software and associated files provider for any alleged or actual infringement of any proprietary rights to which you may claim ownership.

8. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, NEITHER LARE & ASSOCIATES LLC NOR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SOFTWARE AND ASSOCIATED FILES IS LIABLE FOR ANY DIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, INDIRECT, OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO, OR USE OF THE SOFTWARE AND ASSOCIATED FILES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS OR GOODWILL, LOSS OF PROFITS, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, ANY AND ALL OTHER COMMERCIAL DAMAGES OR LOSSES, LITIGATION, OR SIMILAR DAMAGES, UNDER ANY CIRCUMSTANCES, OR LEGAL THEORY, WHETHER BASED ON BREACH OF CONTRACT, BREACH OF WARRANTY, TORT, INCLUDING NEGLIGENCE, PRODUCT LIABILITY OR OTHERWISE, EVEN IF LARE & ASSOCIATES LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE OR LOSS. WITHOUT LIMITING THE FOREGOING, EVERYTHING IS PROVIDED TO YOU "AS IS " WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, OR ANY OTHER WARRANTY, CONDITION, GUARANTY OR REPRESENTATION, WHETHER ORAL, WRITTEN OR IN ELECTRONIC FORM, INCLUDING BUT NOT LIMITED TO THE ACCURACY OR COMPLETENESS OF ANY INFORMATION THEREIN OR PROVIDED BY THE SERVICE.

9. NO DEALER, AGENT, REPRESENTATIVE, OR EMPLOYEE OF LARE & ASSOCIATES LLC OR ANY THIRD PARTY LICENSOR IS AUTHORIZED TO MAKE ANY MODIFICATIONS, EXTENSIONS, OR ADDITIONS TO THIS LIMITATION OF WARRANTY.

10. THE LIMITATION OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN YOU AND LARE & ASSOCIATES LLC. THE SERVICE PROVIDED FROM THIS SITE WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS. SOME STATE STATUTES MAY APPLY REGARDING LIMITATIONS OF LIABILITY.

11. Lare & Associates LLC reserves the right to schedule system and network downtimes without previous notice. Lare & Associates LLC provides no warranty for its service and is not responsible for any inconvenience or lost data as a result of overall network and system performance. While Lare & Associates LLC uses best efforts to ensure the highest system reliability, we cannot make any service guarantees. Lare & Associates LLC will not notify you in advance of these scheduled down times.

12. Lare & Associates LLC, in its sole discretion, may terminate and your access to the software and associated files at any time, for any reason, without notice.

13. This Agreement shall be treated as though it were executed and performed in Seattle, Washington, and shall be governed by and construed in accordance with the laws of the United States of America and of the State of Washington, without regard to conflict of law principles. This Agreement shall be interpreted as to its fair meaning and shall not be construed if favor or against any party based on the authorship of this Agreement being the work of one party. All legal proceedings arising out of or in connection with this Agreement shall be brought in State of Washington, and you expressly submit to the personal jurisdiction of said court within the State of Washington, consent to extra-territorial service of process, and waive any objection to improper venue.

14. Statute of Limitations - any cause of action by you must be instituted within six (6) months after software and associated files accessed.

15. This Agreement constitutes the entire understanding and agreement between you and Lare & Associates LLC and supersedes all prior or contemporaneous understandings, agreements, representations, and warranties with respect to the software and associated files, and subject matter of this Agreement.

16. Indemnity - you shall defend and indemnify Lare & Associates LLC and hold it harmless from and against any and all claims, proceedings, damages, injuries, liabilities, losses, costs and expenses, including reasonable attorneys' fees, relating to any acts by you or materials or information transmitted by you in connection with Big Planet's Service, leading wholly or partially to claims against Lare & Associates LLC or its Service, or system by other subscribers or third parties, regardless of the type of claim or the nature of the cause of action.

17. Lare & Associates LLC Service is subject to United States export controls and may not be downloaded by any person or entity prohibited by any U.S. law, rule, regulation or order or otherwise exported or reexported into any country to which the U.S. has embargoed goods.

18. Lare & Associates LLC may at any time revise these terms and conditions by updating this posting. You are bound by any such revisions, and therefore, should periodically visit this page to review the then current terms and conditions to which you are bound.

19. Failure of Lare & Associates LLC to enforce any provision of this Agreement shall not be deemed a waiver of such provision or of the right to enforce such provision. If any part of this Agreement is held to be invalid or unenforceable, then that portion shall be construed consistent with applicable law as nearly as possible to reflect the original intentions of the parties and the remaining portions shall remain in full force and effect.
